Contracts and Document Preparation

If drafted incorrectly, contracts and other legal documents can have serious impacts on your business. Although the meaning of a document may be clear to you when you write it, it is important to ensure that your intent is clearly and directly stated so that, if a dispute arises, there is no question about how to interpret the deal the contract represents. It is also valuable to have an attorney to guarantee that each party’s respective interests are represented during the drafting process and that it is written in a way that adequately safeguards the negotiated intent. If a dispute arises, a carefully and professionally drafted document will leave no question on how to construe the terms. The attorneys at AWD LAW have the keen eye for detail, tactical negotiation skills, and comprehensive understanding of the law to ensure that your interests are fully represented and accurately protected by a contract.

In addition to contracts, AWD LAW can help your business prepare a number of other legal documents, including:

  • Conditional use permit or rezoning applications,
  • Annual reports,
  • Operating agreements,
  • Security agreements,
  • Promissory notes,
  • Deeds,
  • Commercial lease agreements,
  • Licensing agreements and
  • Trade name applications.

Restricted Stock Agreements

Under a restricted stock agreement, nontransferable, unregistered shares are created and issued to certain individuals connected with the company, usually to a company’s key employees. These shares vest over time and are valued at the time of vesting. The benefits of restricted stock include encouraging employees to commit to your company for a minimum amount of time as well as ensuring employee investment in the success of your business.

Trading restricted stock is closely regulated by the Securities and Exchange Commission (SEC), so it is advisable to consult with an attorney about the process.

AWD LAW has experienced attorneys who will help you understand, negotiate and draft restricted stock agreements. We will help evaluate the needs of your business and determine whether restricted stock agreements are the best option for you. We also have the expertise necessary to advise you on relevant laws and regulations regarding stock restrictions at any stage in time.

Internal Investigations

When a business has notice of any red flags, the officers have a fiduciary duty to respond. One of the steps they can take is to hire outside counsel to conduct an internal investigation. Then, if they comply with the recommendation of the investigation, the law provides some protection for the Board of Directors.

The attorneys at AWD LAW understand the complex and sensitive nature of internal investigations. Our team is well-equipped to conduct confidential and detailed review of your company’s operations. By hiring AWD LAW as your corporate counselors, we will maintain an ongoing relationship with your business, operating in the role of outside general counsel.  Our business lawyers will offer your small business a full menu of services, including:

  • Business formation services
  • Drafting and reviewing lease agreements
  • Prepare and maintain the corporate book
  • Prepare shareholder ledgers
  • Prepare and issue stock certificates
  • Assist with private sales of stock to outside investors
  • Prepare and manage employee stock plans
  • Organize shareholder and director meetings
  • Track and file required government filings
  • Prepare and review purchase agreements and mergers
  • Prepare and review security agreements
  • Contract review, negotiation and drafting

There are numerous advantages to hiring our business attorneys as your corporate counselors.  For example, like having in-house general counsel, you will retain our attorneys indefinitely, which will allow us to develop a close understanding of your company’s unique operations.  However, unlike with in-house general counsel, you are able to control the costs of legal services based on the specific requirements of your business by only seeking our counsel on an as-needed basis.

Regulatory Compliance

There are numerous federal and state regulations with which businesses and individuals need to comply. Keeping up with the various requirements of these regulations can consume a significant amount of your company’s time and resources. The regulatory compliance lawyers at AWD LAW can help make compliance more cost effective and efficient. Our team offers both proactive investigations to ensure that you are following these regulations and offers cost-efficient solutions to any issues that are found. We also represent clients who are involved in litigation or administrative proceedings regarding alleged violations.

We offer assistance for regulatory compliance with a variety of state and federal agencies, including:

U.S. Department of Labor (DOL)
Equal Employment Opportunity Commission (EEOC)
Arizona Registrar of Contractors (ROC)

AWD LAW attorneys Monica Pertea and Colleen Maring head our regulatory compliance practice. Recently, dozens of hotels and other businesses in Northern Arizona have been sued in waves by individual plaintiffs alleging violations of the Americans with Disabilities Act. Monica Pertea and Colleen Maring have organized multiple defendants to these lawsuits in Flagstaff and other parts of Arizona in a way that has allowed their matters to be handled quickly and efficiently.

Before joining AWD LAW, attorney Colleen Maring developed significant expertise in regulatory compliance, gaining experience on both the plaintiff and defense sides of such cases, representing injured plaintiffs and corporations facing allegations. Among other things, she litigated key cases with the National Association of the Deaf to improve the interpretation and application of the Americans with Disabilities Act and other civil rights matters. She later defended corporations from unfounded EEOC and discrimination claims. She also successfully argued on behalf of all inmates on Louisiana’s death row to defend them from a suit by the State of Louisiana that tried to employ state regulations to prevent any inmate from challenging lethal injection protocols.
